Terms of Use
End User Licence Agreement

Version 1.0 — Effective September 1, 2026

In short. YODiM is a home remote for Denon and Marantz receivers. It runs on your local network. You remain responsible for it: it controls real equipment, including volume. A Pro version is available through in-app purchase.

1. Acceptance of terms

By downloading, installing or using the YODiM mobile application (the "App"), you agree to be bound by these Terms of Use (the "Terms"). If you do not accept them, do not install the App, or uninstall it.

You must be at least 13 years old (16 in European Economic Area countries where that age applies) to use the App. If you are a minor, your parent or guardian must have read and accepted these Terms.

2. Licence grant

YODIM Applications Inc. grants you a limited, personal, non-exclusive, non-transferable, non-assignable and revocable licence to install and use the App on Android or iOS devices that you own or control, strictly for personal, non-commercial purposes.

You agree not to: (i) copy, modify or create derivative works of the App; (ii) reverse engineer, decompile or disassemble the App, except to the extent applicable law expressly permits despite this restriction; (iii) rent, lend, sell, sublicense or distribute the App; (iv) circumvent, disable or tamper with licensing, purchase-verification or security mechanisms; (v) use the App in violation of applicable law.

3. Personal, non-commercial use

The App is provided as a convenience remote for home use. It is not designed, intended or warranted for professional, commercial or industrial use, nor for critical environments: broadcast installations, public address, performance venues, security or alerting systems, medical devices, or any context where failure could cause injury, death or significant damage.

4. Free version, Pro version and in-app purchases

The App is offered in a free base version. Certain features and widgets are reserved for the YODiM Pro version, obtained through an in-app purchase made via the Apple App Store or Google Play.

  • Seller and payment. The transaction is concluded with the app store under its own terms. YODIM Applications Inc. does not receive, process or retain any payment information.
  • Refunds. Refund requests are handled exclusively by the store where the purchase was made, under its policies. We can neither grant nor deny a refund.
  • Restoring purchases. A purchase is tied to your store account and can be restored on your devices using the dedicated function in the App.
  • Verification. Entitlement to Pro features is established from the purchase confirmation provided by the store. An Internet connection may occasionally be required for this verification; otherwise the App continues to operate on your local network.
  • Changes to Pro content. We may add features to the Pro version. We will not remove a Pro feature you have already purchased, unless required to do so by a manufacturer, a platform or the law.

If a subscription plan is offered, its price, duration and auto-renewal terms are shown on the purchase screen before confirmation. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period; cancellation is done in your App Store or Google Play account settings, not with us.

5. No affiliation; trademarks

YODIM Applications Inc. is not affiliated with, associated with, authorized by, sponsored by or endorsed by Denon, Marantz or HEOS, nor by their present or future parent companies, subsidiaries, assigns or successors, nor by any other trademark owner named in the App or its documentation.

All trademarks, service marks, product names and logos referenced in the App or its documentation belong to their respective owners and are used for purely descriptive and interoperability purposes only. Their mention constitutes neither a claim of rights, nor an affiliation, nor an endorsement.

6. Third-party equipment and services

The App communicates with third-party audio equipment and may display information from streaming services (for example HEOS, Spotify, Qobuz, Amazon Music, TuneIn), or open those services' apps at your request. Those devices, services and apps are provided by third parties under their own terms and privacy policies.

We exercise no control over their availability, content, pricing or evolution. A change in interface, protocol or firmware by a manufacturer or provider may impair or interrupt certain App functions, and this does not constitute a breach on our part.

7. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, YODIM APPLICATIONS INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, HARDWARE OR SOFTWARE COMPATIBILITY, ACCURACY, RELIABILITY, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT CONTINUED OPERATION FOLLOWING CHANGES TO INTERFACES, FIRMWARE, COMMANDS OR PROTOCOLS BY EQUIPMENT MANUFACTURERS.

Some jurisdictions do not allow the exclusion of certain warranties; in that case, the above exclusions apply to the extent permitted by law and your mandatory statutory rights remain unaffected.

8. Limitation of liability and volume control

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YODIM APPLICATIONS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, LICENSORS AND DEVELOPERS SHALL IN NO EVENT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM THE USE OF, OR INABILITY TO USE, THE APP.

Without limiting the generality of the foregoing, you expressly acknowledge and agree that YODIM Applications Inc. disclaims all liability regarding:

  • Equipment damage: any malfunction, misconfiguration, overheating or damage to your equipment (amplifiers, receivers, speakers, subwoofers, local network or any other connected hardware);
  • Sound levels and hearing risk: any hearing damage, discomfort or harm caused by excessive volume levels, whether resulting from deliberate action, mishandling, network latency or unexpected interface behaviour;
  • Settings and network: any loss of settings, unwanted change to device parameters, local network instability or incompatibility following a firmware update of your audio equipment;
  • Calibration: any alteration of an existing calibration (Audyssey, Dirac Live or equivalent) resulting from changes to speaker values made from the App.
  • Resource use: the App polls your equipment at regular intervals while it is open on screen, so as to reflect what another remote or app has just done. That activity, together with device discovery on the network, may increase your mobile device's battery consumption and the load on your Wi-Fi network. YODIM Applications Inc. disclaims all liability in this respect.

Safety notice. You remain solely responsible for supervising your equipment and controlling volume levels. Always keep a cautious level when making changes, especially remotely or from outside the listening room.

Where law does not permit a full exclusion of liability, the aggregate liability of YODIM Applications Inc. is limited to the greater of: the amount you actually paid for the App in the preceding twelve months, or five Canadian dollars (CAD $5).

9. Platform-specific terms (Apple App Store and Google Play)

You acknowledge and agree that:

  • These Terms are entered into between you and YODIM Applications Inc. only, and not with Apple Inc. or Google LLC.
  • YODIM Applications Inc. is solely responsible for the App and its content.
  • The licence granted to you in section 2 is a non-transferable licence to use the App on any Apple-branded product that you own or control, and as permitted by the Usage Rules set out in Apple's Media Services Terms and Conditions. On Android, the same licence operates within the limits of the Google Play Terms of Service.
  • Apple Inc. and Google LLC have no obligation to provide maintenance or support services for the App.
  • If the App fails to conform to any applicable warranty, you may notify the relevant store, which may refund you under its usual terms. To the fullest extent permitted by law, Apple and Google will have no other warranty obligation.
  • YODIM Applications Inc., not Apple or Google, is responsible for addressing any claim by you or a third party relating to the App, including product liability claims, regulatory non-compliance and intellectual property claims.
  • You represent that you will use the App in compliance with the usage rules set out in the applicable store's terms of service.
  • Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you.
  • These Terms do not replace the contractual terms binding you to Google Play or the Apple App Store.

10. Intellectual property

The App, its source code, architecture, interface design, graphics, brand and original content are the exclusive property of YODIM Applications Inc. All rights not expressly granted herein are reserved.

11. Updates and changes to the App

We may release updates, fixes or new versions of the App. Some may be required in order to keep using it. We may also modify, suspend or discontinue support for a feature, a device model or an operating-system version, in particular when a manufacturer changes its interfaces.

No support obligation. YODIM Applications Inc. is under no obligation to provide technical support, maintenance, updates or fixes, and guarantees no response time. It may offer them at its sole discretion. In particular, a manufacturer dropping or changing a protocol creates no obligation to adapt the App. This absence of obligation does not affect the mandatory consumer rights granted by the law of your country of residence, in particular as regards conformity of digital content and services.

12. Term and termination

The licence remains in effect until terminated. It terminates automatically if you breach any of these Terms. You may terminate it at any time by uninstalling the App. Termination gives no right to a refund, except as provided by the app store or by law. Sections 5 to 10, 13 and 14 survive termination.

13. Legal compliance and export control

You represent and warrant that: (i) you are not located in a country subject to a United States or Canadian government embargo, or designated as supporting terrorism; (ii) you are not listed on any government list of prohibited or restricted parties.

14. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Any dispute relating to the App shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Saint-Hyacinthe, Quebec, Canada.

If you are a consumer residing in the European Union, the United Kingdom, or a jurisdiction whose law grants you the right to bring proceedings in your place of residence, this clause does not deprive you of that right.

15. General provisions

  • Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in full force.
  • Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and YODIM Applications Inc. regarding the App.
  • No waiver: failure to exercise a right does not constitute a waiver of that right.
  • Assignment: you may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.

16. Language

The parties have required that these Terms be drawn up in French. An English version is provided for convenience; in case of discrepancy, the French version prevails, except where the law applicable to the consumer provides otherwise.

17. Changes to these Terms

We reserve the right to modify these Terms at any time. The effective date will be updated accordingly. Your continued use of the App after the changes are published constitutes acceptance of the new terms.
